These Terms & Conditions ("Agreement") constitute a binding agreement between Pixel Burst LLC ("Agency") and the Client. By engaging Pixel Burst LLC for digital services including web design, development, CRM implementation, SaaS setup, and marketing solutions, you agree to be bound by these terms. This Agreement governs all services provided unless a separate written contract is executed.
The scope of services shall be as defined in the project proposal or statement of work provided by Pixel Burst LLC. Services include but are not limited to:
Any services not explicitly listed in the project proposal are considered out of scope and may incur additional fees.
Payment terms are as follows:
Invoices are due within 30 days of receipt. A 1.5% monthly interest charge applies to overdue accounts.
Upon full payment, Pixel Burst LLC grants the Client a non-exclusive license to use deliverables for their business purposes. Pixel Burst LLC retains ownership of:
The Client may not resell, redistribute, or license deliverables to third parties without written consent from Pixel Burst LLC.
The project proposal includes a specified number of revision rounds. Additional revisions beyond the included rounds will be billed at Pixel Burst LLC's standard hourly rate ($150/hour). Change requests that expand the project scope require a written amendment and may impact the project timeline and budget.
Both parties agree to maintain confidentiality regarding proprietary information, business strategies, and sensitive data shared during the engagement. Pixel Burst LLC may use completed projects as portfolio examples unless the Client requests otherwise in writing. Client data will be protected according to industry standards and applicable data protection regulations.
Pixel Burst LLC provides services on an "as-is" basis. While we strive for excellence, Pixel Burst LLC does not warrant that:
In no event shall Pixel Burst LLC's liability exceed the total amount paid by the Client for the project. Pixel Burst LLC is not liable for indirect, incidental, or consequential damages.
Project timelines are estimates and subject to change based on Client feedback, scope changes, or delays in receiving required information. Pixel Burst LLC is not responsible for delays caused by Client inaction, late feedback, or third-party service failures. Extensions beyond the agreed timeline may incur additional fees.
Either party may terminate the engagement with 14 days written notice. Upon termination:
Any disputes arising from this Agreement shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with applicable laws. Both parties waive the right to pursue litigation.
Pixel Burst LLC reserves the right to modify these terms with 30 days notice. Continued use of services constitutes acceptance of modified terms. Existing projects will be governed by the terms in effect at project initiation.
This Agreement is governed by and construed in accordance with applicable federal and state laws. Both parties irrevocably submit to the exclusive jurisdiction of the courts in the jurisdiction where Pixel Burst LLC operates.
